Introduction
Welcome to Ilm Centre ("Ilm Centre", "we", "us", or "our").
These Terms of Service ("Terms") constitute a legally binding agreement between Ilm Centre and any individual who accesses, browses, registers for, purchases, books, participates in, or otherwise uses the Ilm Centre platform, including students, parents, legal guardians, authorised account holders, and any individual acting on behalf of a student (collectively referred to as "Users", "you", or "your").
Ilm Centre operates an online educational marketplace that enables students and families to connect with independent teachers who provide educational services in subjects including, but not limited to, Quran Recitation, Tajweed, Hifdh, Arabic Language, Islamic Studies, Seerah, Aqeedah, Fiqh, and other educational disciplines made available through the Platform.
These Terms govern your access to and use of all Ilm Centre services, including our website, mobile applications, student dashboards, booking systems, communication tools, messaging systems, video classrooms, educational resources, learning management systems, support services, payment facilities, and any other products, features, content, software, or services made available by Ilm Centre (collectively referred to as the "Platform").
By accessing or using the Platform, creating an account, booking a lesson, purchasing a subscription, participating in a class, communicating through the Platform, or otherwise engaging with any services provided through Ilm Centre, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all related policies incorporated into them by reference.
If you do not agree with these Terms, you must immediately cease using the Platform and must not create an account, purchase services, book lessons, or otherwise access any part of the Platform.
Where a student is under the age of eighteen (18), these Terms must be accepted by a parent or legal guardian on the student's behalf. By permitting a child to access or use the Platform, the parent or guardian confirms that they have the legal authority to enter into these Terms on behalf of the child and agree to be responsible for the child's use of the Platform, conduct during lessons, compliance with Platform rules, payment obligations, and adherence to all applicable policies.
Ilm Centre acts solely as a technology platform and educational marketplace that facilitates connections between students and independent teachers. Unless expressly stated otherwise, Ilm Centre is not the direct provider of educational instruction, does not employ teachers as employees, and does not guarantee any specific educational, religious, linguistic, academic, memorisation, examination, or learning outcomes.
These Terms should be read together with our Privacy Policy, Cookie Policy, Refund and Cancellation Policy, Safeguarding Policy, Acceptable Use Policy, Community Guidelines, and any other policies published on the Platform from time to time. Such policies are incorporated into and form part of these Terms.
Ilm Centre reserves the right to amend, modify, update, or replace these Terms at any time. Continued use of the Platform following the publication of revised Terms constitutes acceptance of those revised Terms.
Section 2
Eligibility and Account Registration
To access certain features of the Platform, including booking lessons, communicating with teachers, purchasing subscriptions, managing learning schedules, accessing educational resources, or participating in online classes, you may be required to create and maintain a registered Ilm Centre account.
By creating an account or using the Platform, you represent and warrant that you meet the eligibility requirements set out in these Terms and that all information you provide is accurate, complete, current, and truthful.
2.1 Eligibility
The Platform is intended for use by individuals who are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement, or children under the age of eighteen (18) whose account is created, managed, and supervised by a parent or legal guardian. Ilm Centre reserves the right to request reasonable evidence of age, identity, or parental authority where necessary.
2.2 Parent and Guardian Responsibility
Where an account is created for, or used by, a child, the parent or legal guardian remains the legally responsible account holder and agrees to accept these Terms on behalf of the child, supervise the child's use of the Platform, ensure all information remains accurate, and remain responsible for all activity conducted through the account.
2.3 Registration Information
When registering for an account, you agree to provide accurate, complete, and not misleading information. You agree to promptly update your account if your personal information changes. Providing false, inaccurate, misleading, or fraudulent information may result in the suspension or permanent termination of your account without prior notice.
2.4 Account Security
You are responsible for maintaining the confidentiality and security of your account credentials. You agree to keep your login credentials secure, not share your account with any unauthorised individual, and notify Ilm Centre immediately if you suspect any unauthorised access or security breach.
2.5 One Account Per User
Each registered user may only maintain one personal account unless Ilm Centre expressly authorises otherwise. Accounts may not be transferred, assigned, sold, or shared without the prior written consent of Ilm Centre.
2.6 Verification
Ilm Centre may require users to verify their identity, payment method, contact information, or other account details. Failure to provide requested verification within a reasonable period may result in restrictions on the account.
2.7 Right to Refuse or Terminate Registration
Ilm Centre reserves the right, at its sole discretion, to refuse any application for registration, suspend an account, or terminate an existing account where it reasonably believes that these Terms have been breached, false information has been provided, fraudulent or suspicious activity has occurred, safeguarding concerns arise, or such action is necessary to comply with legal or regulatory requirements.
Section 3
The Ilm Centre Platform and Our Role
Ilm Centre is an online educational marketplace designed to connect students, parents, and legal guardians with independent teachers offering educational services through the Platform. Our role is to provide and maintain the technological infrastructure that facilitates these interactions in a secure, efficient, and user-friendly manner.
3.1 Nature of the Platform
Ilm Centre provides technology services that facilitate the arrangement and delivery of online educational lessons between students and independent teachers. Services include providing access to the Platform, enabling users to search for and compare teachers, facilitating lesson bookings and scheduling, processing payments, providing communication tools, and implementing systems intended to improve quality, safety, and reliability.
While Ilm Centre may review teacher applications, verify identity documents, or assess qualifications, such processes are intended to support the operation of the Platform and should not be interpreted as a guarantee of a teacher's suitability, competence, or future performance.
3.2 Independent Educational Services
Lessons made available through the Platform are delivered by independent teachers. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between Ilm Centre and any teacher. Students acknowledge that by booking a lesson they are receiving educational services from an independent teacher using Ilm Centre's technology platform.
3.3 No Guarantee of Educational Outcomes
Ilm Centre does not warrant or guarantee that any student will achieve specific educational, academic, linguistic, or religious outcomes. Without limitation, Ilm Centre does not guarantee successful completion of a course, memorisation of Quran or other texts, improvement in recitation, fluency in Arabic, examination results, or continued availability of any particular teacher.
3.4 Availability of the Platform
Ilm Centre will use reasonable efforts to make the Platform available on a reliable basis. However, access may occasionally be interrupted due to scheduled maintenance, software updates, security incidents, technical failures, internet disruptions, failures of third-party service providers, force majeure events, or circumstances beyond our reasonable control.
3.5 Platform Improvements
Ilm Centre continually develops and improves its services. We reserve the right at any time to add, modify, suspend, or discontinue Platform features, improve functionality or security, update booking systems, introduce new educational tools, remove obsolete features, or make changes required to comply with applicable law.
3.6 No Professional, Legal, Medical, Financial or Religious Advice
Unless expressly stated otherwise, information and content made available through the Platform are provided for general educational purposes only and should not be relied upon as legal, financial, medical, psychological, or other professional advice. Views expressed by individual teachers are their own and do not necessarily reflect the official position of Ilm Centre.
Section 4
Booking Lessons and Lesson Participation
Ilm Centre provides students, parents, and legal guardians with the ability to search for, compare, and book educational lessons with independent teachers through the Platform. All lesson bookings are subject to these Terms, our Refund and Cancellation Policy, and any additional policies published by Ilm Centre from time to time.
4.1 Booking a Lesson
A lesson booking is not considered confirmed until the booking request has been accepted through the Platform, all required payment authorisations have been successfully completed, any applicable verification requirements have been satisfied, and a booking confirmation has been issued. Ilm Centre reserves the right to refuse, cancel, or decline any booking where reasonably necessary.
4.2 Accuracy of Booking Information
You are responsible for ensuring that all information provided when making a booking is complete, accurate, and up to date, including the student's name, age, educational subject, lesson preferences, availability, and contact information. Ilm Centre shall not be responsible for delays or failed bookings resulting from inaccurate or incomplete information supplied by the user.
4.3 Attendance
Students are expected to attend all scheduled lessons promptly, join a few minutes before the scheduled start time, ensure their internet connection is stable, and test microphones, cameras, and other equipment before the lesson begins. Parents or guardians should assist younger students with joining lessons and resolving technical issues before the scheduled start time.
4.4 Student Participation
Students must not intentionally disrupt lessons, use abusive or offensive language, engage in bullying or harassment, display inappropriate materials during lessons, or engage in any conduct that places another user at risk. Teachers may end a lesson where a student's behaviour seriously disrupts the learning environment or creates safeguarding concerns. Such action does not automatically entitle the student to a refund.
4.5 Learning Environment
Students are responsible for ensuring that they participate in lessons from an environment that is suitable for online learning. Parents and guardians should, where appropriate, provide a safe and appropriate learning space, minimise avoidable interruptions, and supervise younger children where necessary.
4.6 Technical Requirements
Students are responsible for ensuring they have access to suitable equipment and internet connectivity, including a compatible device, reliable internet, a functioning microphone, a functioning camera where required, and compatible web browsers or applications. Ilm Centre cannot guarantee uninterrupted lesson delivery where technical issues arise from the student's own equipment or network.
4.7 Teacher Availability
Circumstances may occasionally require a lesson to be rescheduled or cancelled due to teacher illness, emergencies, technical failures, or unforeseen circumstances. Where reasonably practicable, affected users will be notified as soon as possible and alternative arrangements may be offered in accordance with our Refund and Cancellation Policy.
4.8 Lesson Duration
Lessons will normally begin and end at the scheduled times. Students who join a lesson late acknowledge that the lesson may still conclude at its originally scheduled end time. Teachers are not ordinarily required to extend lessons to compensate for time lost due to the student's late arrival.
4.9 Lesson Records
The Platform may maintain records relating to lesson bookings, attendance, scheduling history, communications, and other administrative information for operational, safeguarding, dispute resolution, legal compliance, and quality assurance purposes, in accordance with our Privacy Policy.
Section 5
Payments, Billing and Subscriptions
Access to certain services requires payment of applicable lesson fees, subscription charges, or other fees published by Ilm Centre from time to time. All payments made through the Platform are processed using authorised third-party payment providers. Ilm Centre does not store or have access to your complete payment card information.
5.1 Pricing
The price payable for lessons, subscriptions, or other services will be displayed on the Platform before you complete your purchase. Ilm Centre reserves the right to correct any obvious pricing errors or inaccuracies that may occur due to technical issues or administrative errors.
5.2 Payment Methods
By providing payment details, you represent and warrant that you are authorised to use the chosen payment method, the payment information is accurate and complete, sufficient funds or credit are available, and you authorise Ilm Centre and its authorised payment providers to collect all applicable charges associated with your purchase.
5.3 Subscription Services
Where the Platform offers recurring subscription plans, your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date. By purchasing a subscription, you authorise Ilm Centre or its authorised payment provider to automatically charge your selected payment method for each recurring billing period until the subscription is cancelled.
5.4 Failed Payments
If a payment cannot be successfully processed, Ilm Centre may retry the payment, temporarily suspend access to paid services, cancel pending bookings, restrict future bookings, suspend subscription benefits, recover any outstanding amounts lawfully owed, or terminate the account in accordance with these Terms.
5.5 Billing Information
You are responsible for ensuring that your billing information remains accurate and current at all times, including billing addresses, payment cards, and contact details. Ilm Centre shall not be responsible for failed transactions resulting from inaccurate or outdated billing information.
5.6 Refunds and Credits
Refunds, credits, replacement lessons, and cancellations are governed by Ilm Centre's Refund and Cancellation Policy. Nothing within this section limits any statutory consumer rights that cannot lawfully be excluded. Where a refund is approved, it will ordinarily be processed using the original payment method.
5.7 Promotional Offers and Discounts
From time to time, Ilm Centre may offer promotional pricing, discounts, referral rewards, promotional codes, or other incentives. Unless expressly stated otherwise, promotional offers cannot be exchanged for cash, only one promotion may be applied per purchase, and Ilm Centre reserves the right to withdraw or amend promotional offers at any time. Any misuse of promotional offers may result in cancellation of the promotion or suspension of the account.
5.8 Taxes
Users are responsible for paying any taxes, duties, levies, or other government charges applicable to their purchases under the laws of their country or jurisdiction, unless Ilm Centre is required by law to collect and remit such amounts on their behalf.
5.9 Changes to Pricing
Ilm Centre reserves the right to modify lesson prices, subscription fees, or other charges at any time. Any changes to recurring subscription pricing will not affect the current billing period already paid for. Continued use of paid services after the effective date of revised pricing constitutes acceptance of the updated charges.
5.10 Chargebacks and Payment Disputes
If you believe a payment has been made in error, you should contact Ilm Centre before initiating a chargeback or payment dispute with your payment provider. Where a chargeback is determined to be fraudulent, abusive, or made in bad faith, Ilm Centre reserves the right to recover any outstanding amounts, suspend or terminate the relevant account, and take any other lawful action necessary.
Section 6
Cancellations, Rescheduling and Refunds
Ilm Centre recognises that circumstances may occasionally require lessons to be cancelled, rescheduled, or refunded. All cancellation, rescheduling, and refund requests will be assessed in accordance with these Terms, our Refund and Cancellation Policy, and any applicable consumer protection legislation.
6.1 Cancelling a Lesson
Students, parents, and legal guardians may request to cancel a booked lesson using the methods provided through the Platform. Cancellation requests should be submitted as soon as reasonably possible. The availability of refunds or lesson credits will depend upon the amount of notice provided, whether the lesson has already commenced, the circumstances surrounding the cancellation, and the applicable Refund and Cancellation Policy. Submitting a cancellation request does not automatically entitle a user to a refund.
6.2 Rescheduling Lessons
Where permitted, students may request that a lesson be rescheduled instead of cancelled. Rescheduling requests remain subject to teacher availability, the amount of notice provided, operational requirements, and the terms of the Refund and Cancellation Policy. Ilm Centre cannot guarantee that an alternative lesson time will always be available.
6.3 Failure to Attend
Students are responsible for attending lessons at the agreed date and time. Where a student fails to attend without cancelling in accordance with these Terms, the lesson may be treated as a missed lesson. Unless otherwise required by applicable law, missed lessons may not be refunded, lesson fees may remain payable, and replacement lessons are not guaranteed.
6.4 Late Arrival
Students should join lessons promptly at the scheduled start time. Where a student joins a lesson after the scheduled start time, the lesson may still conclude at its originally scheduled finish time. Teachers are not generally required to extend lessons to compensate for time lost due to the student's late arrival.
6.5 Teacher-Initiated Changes
In certain circumstances, a teacher may be unable to deliver a scheduled lesson due to illness, family emergencies, technical failures, force majeure events, or other circumstances beyond reasonable control. Where reasonably practicable, Ilm Centre will notify affected users as soon as possible and may arrange a replacement lesson, offer an alternative teacher, provide lesson credit, or issue an appropriate refund.
6.6 Technical Issues
Technical problems arising from a student's own device, internet service provider, local network, or software configuration will not normally entitle the student to a refund, replacement lesson, or lesson credit. Where technical issues arise due to the Platform itself or another matter within Ilm Centre's reasonable control, we will investigate the circumstances and determine whether a remedy is appropriate.
6.7 Exceptional Circumstances
In exceptional circumstances, including serious illness, bereavement, natural disasters, or significant safeguarding concerns, Ilm Centre may, at its sole discretion and subject to applicable law, consider rescheduling a lesson, providing lesson credit, issuing a partial or full refund, or offering another appropriate resolution.
6.8 Refund Processing
Where a refund is approved, Ilm Centre will use reasonable efforts to process the refund promptly. Approved refunds will ordinarily be returned using the original payment method. The time taken for refunded funds to appear in your account may vary depending upon your bank or payment provider.
6.9 Abuse of the Cancellation or Refund Process
Users must not misuse or attempt to manipulate the cancellation or refund process. Prohibited conduct includes making false claims to obtain refunds, repeatedly booking lessons without intending to attend, deliberately creating technical issues to avoid payment, submitting fraudulent payment disputes, or providing false or misleading information during a refund investigation. Ilm Centre reserves the right to refuse refund requests, recover improperly issued credits, suspend or terminate the user's account, and take any other lawful action necessary.
6.10 Statutory Rights
Nothing in this section excludes, restricts, or limits any statutory rights or remedies that users may have under applicable consumer protection legislation. Where these Terms conflict with mandatory legal rights that cannot lawfully be excluded, those mandatory legal rights shall prevail to the extent of the conflict.
Section 7
Student Conduct and Acceptable Use
Ilm Centre is committed to providing a safe, respectful, inclusive, and productive online learning environment. By accessing or using the Platform, you agree to conduct yourself in a manner that is lawful, respectful, and consistent with the educational purpose of Ilm Centre. Parents and legal guardians acknowledge that they are responsible for ensuring children understand and comply with these standards at all times.
7.1 Respectful Behaviour
All users are expected to communicate and interact with teachers, students, parents, guardians, Ilm Centre staff, and other members of the Platform in a respectful, courteous, and professional manner. Behaviour that is abusive, intimidating, threatening, discriminatory, harassing, or otherwise inappropriate will not be tolerated. Personal attacks, offensive language, bullying, intimidation, or any behaviour that undermines the dignity of another individual is strictly prohibited.
7.2 Appropriate Use of the Platform
The Platform may only be used for its intended educational purposes and in accordance with these Terms. Prohibited conduct includes using the Platform for unlawful or deceptive purposes, attempting to gain unauthorised access to accounts or data, introducing malicious software or viruses, providing false or misleading information, impersonating another individual, or intentionally disrupting lessons or the normal operation of the Platform.
7.3 Participation During Lessons
Students should arrive on time, follow reasonable instructions provided by their teacher, participate respectfully, and avoid behaviour that unnecessarily interrupts or distracts from the lesson. Teachers may end or suspend a lesson where a student's behaviour presents a safeguarding concern or significantly disrupts the lesson. Such action does not automatically entitle the student to a refund or replacement lesson.
7.4 Protection of the Platform and Other Users
Users must respect the rights, privacy, safety, and personal information of all individuals using the Platform. You must not copy, distribute, or misuse another person's personal information without lawful authority or consent. Where lesson recording features are available, recordings may only be made where expressly authorised by Ilm Centre. Unauthorised recording, distribution, or publication of lessons or communications is prohibited.
7.5 Compliance with Safeguarding Requirements
All users are required to comply with Ilm Centre's Safeguarding Policy and conduct themselves in a manner that supports the protection of children and vulnerable individuals at all times. Any behaviour that may place another person at risk may result in immediate action, including the suspension of lessons or accounts while the matter is investigated. Where appropriate or legally required, Ilm Centre may share relevant information with law enforcement agencies or safeguarding organisations.
7.6 Breaches of these Terms
Where Ilm Centre reasonably believes that a user has breached these Terms, any applicable policy, or any relevant law, we reserve the right to take such action as we reasonably consider necessary. Depending upon the seriousness of the breach, such action may include issuing a warning, restricting access to certain features, removing content, cancelling bookings, suspending lessons, temporarily restricting an account, permanently terminating access, or reporting unlawful conduct to the appropriate authorities.

Privacy, Personal Information and Data Protection
Ilm Centre recognises the importance of protecting the privacy, confidentiality, and security of the personal information entrusted to us by our users. We are committed to processing personal information responsibly, transparently, and in accordance with applicable data protection and privacy legislation.
8.1 Collection of Personal Information
In order to provide our services effectively, Ilm Centre may collect personal information relating to students, parents, legal guardians, and authorised account holders. Information may be collected when you create an account, update your profile, book lessons, communicate with teachers or customer support, complete payment transactions, participate in lessons, submit enquiries, or otherwise engage with our services.
8.2 Purpose of Processing Personal Information
Ilm Centre only processes personal information where there is an appropriate legal basis to do so. Your information may be processed for purposes including managing your account, facilitating lesson bookings, processing payments, providing customer support, maintaining lesson records, improving Platform security and functionality, investigating complaints, resolving disputes, preventing fraud, complying with safeguarding obligations, and meeting legal and regulatory requirements.
8.3 Sharing of Personal Information
Ilm Centre does not sell your personal information to third parties. Certain personal information may need to be shared with carefully selected third parties including payment service providers, cloud hosting providers, identity verification providers, communication service providers, professional advisers, regulatory bodies, and law enforcement agencies where disclosure is required or permitted by law.
8.4 International Transfers of Personal Information
As an international online educational platform, Ilm Centre may use service providers or infrastructure located in countries outside the country in which you reside. Where personal information is transferred internationally, Ilm Centre will take reasonable steps to ensure that appropriate safeguards are implemented in accordance with applicable data protection legislation.
8.5 Data Security
We implement and maintain appropriate technical, organisational, and administrative measures designed to safeguard personal information against accidental or unlawful destruction, loss, alteration, unauthorised disclosure, or unauthorised access. While Ilm Centre takes reasonable precautions, no internet-based system can be guaranteed to be completely secure, and users acknowledge the inherent risks associated with transmitting information over the internet.
8.6 Data Retention
Ilm Centre retains personal information only for as long as it is reasonably necessary to fulfil the purposes for which it was collected, comply with legal and regulatory obligations, resolve disputes, enforce contractual rights, maintain appropriate business records, and satisfy safeguarding requirements. Once personal information is no longer required, it will be securely deleted or anonymised.
8.7 Your Privacy Rights
Depending upon the laws applicable to your jurisdiction, you may have certain rights in relation to your personal information, including the right to request access, correction, deletion, object to processing, request restriction or portability, withdraw consent, or lodge a complaint with a relevant supervisory authority. Requests relating to personal information will be considered and responded to in accordance with applicable legal requirements and our Privacy Policy.

Safeguarding and Child Protection
The safety, welfare, dignity, and wellbeing of every child and vulnerable individual using the Platform is of paramount importance to Ilm Centre. We are committed to fostering an online educational environment that promotes learning within a culture of safety, respect, trust, and accountability. Safeguarding is a shared responsibility involving the Platform, teachers, students, parents, legal guardians, and, where appropriate, external agencies.
9.1 Commitment to Safeguarding
Ilm Centre is committed to maintaining policies, procedures, and operational practices designed to support the protection of children and vulnerable individuals. While we implement reasonable safeguarding measures, parents and legal guardians acknowledge that safeguarding is a shared responsibility and that no online environment can entirely eliminate every potential risk. Parents and guardians remain responsible for exercising appropriate supervision over children using the Platform.
9.2 Responsibilities of Parents and Legal Guardians
By permitting a child to use Ilm Centre, parents and guardians agree to exercise reasonable supervision appropriate to the child's age, maturity, and individual needs. Parents and guardians should ensure that children participate in lessons from an appropriate environment and should promptly notify Ilm Centre if they become aware of any safeguarding concern. Nothing within these Terms transfers parental responsibility from the parent or legal guardian to Ilm Centre.
9.3 Safe Use of the Platform
All users are expected to use the Platform responsibly and in a manner that supports the safety of every member of the Ilm Centre community. Users must not attempt to exploit, manipulate, groom, harass, intimidate, threaten, or otherwise behave in a manner that may reasonably be considered harmful, inappropriate, or unsafe. Any conduct that may give rise to safeguarding concerns may be investigated irrespective of whether such conduct constitutes a criminal offence.
9.4 Reporting Safeguarding Concerns
Ilm Centre encourages users to report any safeguarding concern as soon as reasonably practicable using the reporting procedures published on the Platform or by contacting Ilm Centre through the designated safeguarding channels. Users must not knowingly submit malicious, false, misleading, or vexatious safeguarding reports, as deliberately making false allegations may itself constitute a breach of these Terms.
9.5 Investigation of Safeguarding Concerns
Where a safeguarding concern is reported or otherwise comes to the attention of Ilm Centre, we reserve the right to take such action as we reasonably consider necessary, including gathering information, reviewing communications, temporarily restricting Platform access, suspending lessons, or placing accounts under review. The safety and welfare of children and vulnerable individuals will always take precedence over commercial interests. Users agree to cooperate fully with any safeguarding enquiries.
9.6 Disclosure of Information
Where Ilm Centre reasonably believes that disclosure is necessary or appropriate, we may share relevant information with law enforcement agencies, child protection organisations, safeguarding authorities, regulatory bodies, courts, or other competent authorities. Users acknowledge that Ilm Centre may make such disclosures without prior notice where doing so is reasonably necessary to protect another person or where notification would be unlawful or likely to prejudice an investigation.
9.7 Immediate Protective Action
Ilm Centre reserves the right to take immediate protective action where we reasonably believe that a child, vulnerable individual, teacher, member of staff, or other user may be exposed to an unacceptable level of risk. Such action may include the immediate suspension of lessons, temporary or permanent account restrictions, removal of communications or content, cancellation of bookings, or restriction of Platform access. The exercise of these safeguarding powers shall not constitute a breach of contract by Ilm Centre.
9.8 Safeguarding Policy
This section should be read together with Ilm Centre's Safeguarding Policy, which forms an integral part of these Terms and contains more detailed information regarding safeguarding procedures, reporting mechanisms, behavioural expectations, investigation processes, and the responsibilities of teachers, parents, students, and Ilm Centre.
Section 10
Intellectual Property Rights
Ilm Centre has invested significant time, expertise, resources, and financial investment into the creation, development, operation, and maintenance of the Platform and its associated services. These Terms do not transfer ownership of any intellectual property rights to you. Your use of the Platform grants you only a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform strictly in accordance with these Terms and solely for your own personal, lawful, and non-commercial educational purposes.
10.1 Ownership of the Platform
Unless expressly stated otherwise, all rights, title, and interest in and to the Platform, including all associated intellectual property rights, remain vested in Ilm Centre or its licensors. This includes, without limitation, the Platform's design, layout, software, source code, databases, graphics, logos, icons, branding, trade names, domain names, written content, audio, video, downloadable resources, educational materials created by Ilm Centre, and all improvements, modifications, updates, and derivative works.
10.2 Limited Licence to Use the Platform
Subject to your continued compliance with these Terms, Ilm Centre grants you a limited licence to access and use the Platform for the sole purpose of receiving educational services. This licence is personal to you and may not be assigned, transferred, or sublicensed without Ilm Centre's prior written consent. Your licence automatically terminates if your account is suspended or terminated.
10.3 Restrictions on Use
Except where expressly permitted by these Terms or applicable law, you must not reproduce, copy, modify, distribute, publish, sell, license, reverse engineer, decompile, disassemble, extract, scrape, or otherwise exploit any part of the Platform or its content without the prior written permission of Ilm Centre or the relevant rights holder. You must not remove, obscure, or interfere with any copyright notices, trade marks, branding, watermarks, or technological protection measures incorporated into the Platform.
10.4 Educational Materials
Unless expressly stated otherwise, educational materials are provided solely for the personal educational use of the student for whom they were supplied. Educational materials must not be copied, reproduced, adapted, republished, uploaded, distributed, sold, shared with third parties, or otherwise exploited for commercial purposes without the prior written permission of the relevant rights holder.
10.5 User-Generated Content
Where users upload or submit content to the Platform, users retain ownership of any intellectual property rights they already possess in that content. By submitting content through the Platform, you grant Ilm Centre a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, transmit, process, and otherwise use such content solely for the purposes of operating, maintaining, improving, and administering the Platform. You represent and warrant that you own, or have all necessary rights to upload, any content you submit and that such content does not infringe the rights of any third party.
10.6 Trade Marks and Branding
The name "Ilm Centre", together with its logos, branding, slogans, graphics, icons, and other distinctive brand elements, are valuable assets belonging to Ilm Centre. Nothing contained within these Terms grants you any licence or right to use Ilm Centre's trade marks, branding, or logos except where such use is expressly authorised in writing. Any unauthorised use of Ilm Centre's branding may constitute an infringement of intellectual property rights and may result in legal action.
10.7 Copyright Infringement
Ilm Centre respects the intellectual property rights of others and expects users to do the same. If you believe that material available on the Platform infringes your copyright or other intellectual property rights, you should notify Ilm Centre promptly with sufficient information to enable us to investigate the matter. Repeated infringement of intellectual property rights may result in the suspension or permanent termination of a user's account.
10.8 Reservation of Rights
Except for the limited rights expressly granted under these Terms, Ilm Centre reserves all intellectual property rights, proprietary rights, and other legal rights relating to the Platform and its services. Any unauthorised use of the Platform or its intellectual property may result in the suspension or termination of your account and may give rise to civil or criminal liability under applicable law.
Section 11
Communications and Electronic Notices
By creating an account with Ilm Centre or otherwise using the Platform, you agree to receive communications from us electronically and acknowledge that electronic communications satisfy any legal requirement that such communications be made in writing, unless applicable law expressly requires otherwise.
11.1 Methods of Communication
Ilm Centre may contact you using any communication method associated with your account, including your registered email address, in-platform notifications, text messages, telephone calls, messaging features within the Platform, or mobile application notifications. Certain communications relating to safeguarding, account security, payment issues, or legal compliance may require immediate attention.
11.2 Responsibility to Maintain Accurate Contact Information
You are responsible for ensuring that the contact information associated with your account remains accurate, complete, and up to date at all times. If your contact details change, you must update your account promptly. Ilm Centre shall not be responsible for any loss, inconvenience, missed lesson, failed notification, or other consequence arising from your failure to maintain accurate contact information.
11.3 Electronic Delivery of Notices
Where permitted by applicable law, any notice or communication sent electronically by Ilm Centre shall be deemed to have been received by you once it has been successfully transmitted to the contact details recorded on your account or otherwise made available through the Platform. Failure to read or access a communication after it has been sent shall not invalidate the communication or relieve you of any obligation arising from it.
11.4 Service and Marketing Communications
Certain communications are necessary for the operation of the Platform and form part of the services provided to you, including communications relating to account administration, lesson bookings, payment processing, security, safeguarding, and updates to these Terms. You may also choose to receive newsletters, promotional offers, and other marketing communications. Where marketing communications require your consent under applicable law, Ilm Centre will obtain that consent before sending such communications. You may withdraw your consent at any time by following the unsubscribe instructions or updating your account preferences.
11.5 Language of Communications
Unless otherwise required by applicable law or expressly agreed, communications from Ilm Centre will ordinarily be provided in English. Where translations are made available for convenience, the English version shall prevail in the event of any inconsistency or conflict between different language versions, unless applicable law requires otherwise.
11.6 Recording and Monitoring of Communications
To support safeguarding, quality assurance, dispute resolution, customer support, legal compliance, and fraud prevention, Ilm Centre may monitor, retain, or record certain communications conducted through the Platform where permitted by applicable law. Where lessons or communications are recorded, Ilm Centre will process such recordings in accordance with its Privacy Policy and applicable data protection legislation.
11.7 Communication with Teachers
Where the Platform provides communication facilities between students and teachers, those facilities are provided solely for purposes connected with educational services delivered through Ilm Centre. Users must communicate respectfully and professionally. Ilm Centre reserves the right, where reasonably necessary and permitted by law, to review communications through Platform messaging systems for safeguarding, investigating complaints, and ensuring compliance with these Terms. Users are strongly encouraged to use the communication tools provided within the Platform whenever reasonably practicable.
Section 12
Suspension, Restriction and Termination of Accounts
Ilm Centre is committed to maintaining a safe, secure, reliable, and trustworthy educational environment. While we seek to resolve concerns fairly and proportionately wherever possible, there may be circumstances in which it is necessary for us to restrict, suspend, or permanently terminate access to the Platform in order to protect our users, comply with legal or regulatory obligations, safeguard children and vulnerable individuals, or protect our legitimate business interests.
12.1 Suspension or Restriction of Access
Ilm Centre reserves the right, at its sole discretion, to temporarily suspend or restrict access to all or part of the Platform where we reasonably consider such action to be necessary. Suspension or restriction may be imposed where a user has breached these Terms, engaged in unlawful or fraudulent conduct, compromised Platform security, created a safeguarding concern, failed to make required payments, or provided false or misleading information. A suspension may apply to the whole account or only to specific features or services.
12.2 Permanent Termination
Where Ilm Centre reasonably determines that continued access to the Platform is no longer appropriate, we reserve the right to permanently terminate a user's account. Permanent termination may occur where a breach of these Terms is serious, repeated, deliberate, or incapable of being remedied, or where continued access would place other users, teachers, staff, or the Platform itself at risk. Termination of an account shall result in the loss of access to the Platform and any associated services unless otherwise required by applicable law.
12.3 Immediate Action
Ilm Centre reserves the right to suspend, restrict, or terminate an account without prior notice where we reasonably believe that immediate action is necessary to protect the safety of a child or vulnerable individual, respond to a safeguarding concern, prevent fraud or unlawful activity, protect the security of the Platform, comply with legal obligations, or prevent imminent harm to any person or property.
12.4 Investigations
Where a complaint, report, or concern is received, Ilm Centre may investigate the matter before determining the appropriate course of action. Users agree to cooperate fully with any investigation and provide such information or documentation as may reasonably be requested. A user's refusal to cooperate with a reasonable investigation may itself be taken into account when determining whether continued access to the Platform remains appropriate.
12.5 Effect of Suspension or Termination
Where an account is suspended or terminated, Ilm Centre may immediately disable access to the Platform, cancel pending bookings, suspend subscriptions, and remove or restrict access to certain content or services. Unless otherwise required by law, suspension or termination shall not automatically entitle a user to a refund, compensation, or any other financial remedy. Any outstanding payment obligations arising prior to suspension or termination shall continue notwithstanding the closure of the account.
12.6 User-Initiated Account Closure
You may choose to close your Ilm Centre account at any time by following the account closure process available through the Platform or by contacting our customer support team. Closing your account does not automatically cancel any outstanding lesson bookings, subscription commitments, or payment obligations that arose prior to the account closure. Following account closure, Ilm Centre may retain certain information where reasonably necessary to comply with legal obligations, satisfy safeguarding requirements, resolve disputes, or prevent fraud.
12.7 No Waiver of Rights
Any decision by Ilm Centre to issue a warning, temporarily suspend an account, or permit continued use of the Platform following a breach shall not constitute a waiver of any right or remedy available to Ilm Centre. Ilm Centre reserves the right to take further action in relation to the same or any subsequent breach where it reasonably considers such action to be appropriate.
Section 13
Disclaimers and Limitation of Liability
By using the Platform, you acknowledge and accept that online educational services are inherently dependent upon a number of factors outside Ilm Centre's reasonable control. Accordingly, your use of the Platform is entirely at your own risk and subject to the limitations set out in this section.
13.1 No Guarantee of Educational Outcomes
Ilm Centre does not warrant, represent, or guarantee that any student will achieve any particular educational, academic, linguistic, religious, professional, or personal outcome through use of the Platform. Ilm Centre accepts no responsibility for examination results, academic achievement, language proficiency, Quran memorisation, religious understanding, employment opportunities, or any other outcome arising from participation in lessons delivered through the Platform.
13.2 No Warranty Regarding Platform Availability
Whilst Ilm Centre will use reasonable skill and care in providing the Platform, we do not warrant that the Platform will always be available, uninterrupted, secure, free from defects, or compatible with every device, browser, operating system, or internet connection. To the fullest extent permitted by law, Ilm Centre shall not be liable for any loss arising solely from temporary interruptions, delays, technical failures, or reduced functionality of the Platform where such events occur despite our reasonable efforts to maintain the service.
13.3 Responsibility for User Equipment and Internet Services
Users are solely responsible for obtaining and maintaining the equipment, devices, software, internet connectivity, and other resources necessary to access and use the Platform. Ilm Centre shall not be responsible for any interruption, failure, loss of data, or inability to participate in lessons arising from defects or failures relating to a user's own equipment, internet connection, software configuration, or other systems outside Ilm Centre's reasonable control.
13.4 Third-Party Services
The Platform may rely upon or integrate with services provided by third parties, including payment processors, cloud hosting providers, communication providers, video conferencing technology, and other technology providers. Ilm Centre does not control the operation, availability, policies, or performance of those third-party services and shall not be responsible for interruptions, errors, delays, security incidents, or losses that arise directly from the acts or omissions of independent third-party service providers, except where liability cannot lawfully be excluded.
13.5 Limitation of Liability
To the fullest extent permitted by applicable law, Ilm Centre, its directors, officers, employees, contractors, affiliates, representatives, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive loss or damage arising out of or in connection with your access to or use of the Platform. Without limiting the foregoing, Ilm Centre shall not be liable for any loss of profits, loss of revenue, loss of opportunity, loss of business, loss of goodwill, reputational damage, interruption of business, loss or corruption of data, or emotional distress. Where Ilm Centre is found liable for any claim, our total aggregate liability shall be limited to the total amount actually paid by you to Ilm Centre during the twelve (12) months immediately preceding the event giving rise to the claim.
13.6 Circumstances Beyond Our Control
Ilm Centre shall not be liable for any delay, interruption, failure to perform, or inability to provide the Platform where such circumstances arise wholly or partly as a result of events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, industrial action, governmental action, changes in law, internet failures, cyber attacks, failures of utility services, or failures of third-party suppliers.
13.7 Consumer Rights
Nothing contained within these Terms shall exclude, restrict, or limit any liability that cannot lawfully be excluded or limited under applicable law. In particular, nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or restricted under the laws of England and Wales or any other mandatory applicable legislation.
13.8 Your Acceptance of Risk
By using the Platform, you acknowledge that you have carefully read and understood this section and that you accept the risks that are reasonably inherent in the use of online educational services. You further acknowledge that the fees charged by Ilm Centre reflect the allocation of risk set out in these Terms and that the limitations of liability contained within this section form an essential basis upon which Ilm Centre makes the Platform available to its users.
Section 14
Indemnity
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Ilm Centre, together with its parent companies, subsidiaries, affiliates, directors, officers, employees, consultants, contractors, agents, representatives, successors, assigns, licensors, and professional advisers (collectively referred to as the "Indemnified Parties"), against any and all claims, actions, proceedings, investigations, demands, liabilities, judgments, settlements, damages, losses, costs, expenses, penalties, regulatory sanctions, and reasonable legal costs arising directly or indirectly from your use of the Platform or your breach of these Terms.
14.1 Circumstances Giving Rise to the Indemnity
Without limiting the broad scope of this section, the indemnity shall apply where any claim, liability, loss, damage, cost, or legal proceeding arises as a consequence of your actions or omissions, including where you breach these Terms or any policy incorporated into them, misuse the Platform, provide false or fraudulent information, engage in unlawful or abusive conduct, infringe the intellectual property or privacy rights of another person, upload unlawful content, breach safeguarding requirements, interfere with the operation of the Platform, submit fraudulent payment disputes or refund requests, or fail to comply with any applicable law or regulatory requirement.
14.2 Third-Party Claims
If any third party brings or threatens to bring legal proceedings against Ilm Centre arising out of your actions, omissions, use of the Platform, submitted content, or breach of these Terms, you agree to indemnify the Indemnified Parties against all losses reasonably incurred in responding to that matter, including damages, settlement payments, court awards, legal fees, expert witness fees, investigation costs, and any other reasonable expenditure incurred in defending, investigating, or resolving the claim.
14.3 Regulatory and Safeguarding Matters
Where your conduct gives rise to investigations by regulatory authorities, safeguarding agencies, law enforcement bodies, or other competent authorities, and Ilm Centre incurs costs or liabilities as a consequence of responding to those investigations, you agree to indemnify Ilm Centre for those reasonable costs to the extent that they arise from your actions or omissions.
14.4 Duty to Cooperate
You agree to cooperate fully and promptly with Ilm Centre in relation to any claim, complaint, investigation, regulatory enquiry, legal proceeding, or safeguarding concern to which this indemnity relates. Failure to cooperate may itself constitute a breach of these Terms and may be taken into account when determining whether continued access to the Platform remains appropriate.
14.5 Conduct of Proceedings
Ilm Centre reserves the exclusive right to investigate, defend, negotiate, settle, or otherwise deal with any claim or legal proceedings that may give rise to an indemnity under this section. You agree not to admit liability, negotiate, settle, or otherwise dispose of any matter affecting Ilm Centre without our prior written consent where such action could reasonably prejudice our legal position.
14.6 Survival
The obligations contained within this section shall survive the suspension, termination, expiry, cancellation, or closure of your account and shall continue for so long as is reasonably necessary to resolve any claim, investigation, dispute, regulatory matter, or legal proceedings arising from events that occurred during your use of the Platform.
14.7 Interpretation
Nothing contained within this section shall require you to indemnify Ilm Centre for losses arising solely from Ilm Centre's own negligence, fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded, transferred, or limited under applicable law. If any provision of this section is found to be invalid or unenforceable, that provision shall be interpreted so as to give effect, as nearly as possible, to its intended commercial purpose, and the remaining provisions shall continue in full force and effect.
Section 15
Force Majeure
Ilm Centre shall not be deemed to be in breach of these Terms, nor shall it be liable for any delay, interruption, failure, or inability to perform any obligation arising under these Terms where such delay or failure results, directly or indirectly, from circumstances beyond our reasonable control. Where such circumstances arise, Ilm Centre shall be relieved from performing the affected obligations for the duration of the relevant event and for such additional period as may reasonably be required to resume normal operations.
15.1 Force Majeure Events
For the purposes of these Terms, a Force Majeure Event means any event, circumstance, or combination of circumstances beyond the reasonable control of Ilm Centre that materially prevents, hinders, delays, or renders impracticable the performance of our contractual obligations. Force Majeure Events may include, without limitation, natural disasters, acts of God, earthquakes, floods, storms, fires, epidemics, pandemics, public health emergencies, war, armed conflict, terrorism, civil unrest, strikes, industrial disputes, government action, changes in law, sanctions, court orders, failure of public utilities, interruptions to electricity supplies, failures of internet or telecommunications networks, cyber-attacks, DDoS attacks, ransomware incidents, failures of cloud hosting providers, failures of payment processors, failures of third-party software providers, widespread technology outages, or any other event beyond the reasonable control of Ilm Centre.
15.2 Suspension of Performance
Where a Force Majeure Event affects Ilm Centre's ability to perform its obligations, those obligations shall be suspended only to the extent and for the duration that performance is prevented, hindered, or materially delayed by the relevant event. During the period of suspension, Ilm Centre shall use reasonable endeavours to minimise disruption, implement appropriate contingency measures where reasonably practicable, and restore affected services as soon as circumstances reasonably permit.
15.3 Effect on Lessons and Services
Where a Force Majeure Event affects scheduled lessons, Platform functionality, payment processing, communications, or any other service provided through the Platform, Ilm Centre shall not be liable for any delay, interruption, postponement, cancellation, or reduction in service directly resulting from that event. Where reasonably practicable, Ilm Centre may seek to minimise disruption by rescheduling lessons, offering alternative arrangements, restoring affected services, extending subscriptions, or issuing service credits. Nothing in this section obliges Ilm Centre to provide compensation, refunds, or replacement services where the relevant interruption arises solely as a consequence of a Force Majeure Event, except where required by applicable law.
15.4 Third-Party Service Providers
The operation of the Platform depends upon numerous independent third-party service providers. Where a Force Majeure Event affects the ability of one or more third-party providers to deliver services upon which Ilm Centre reasonably relies, such disruption shall be treated as a Force Majeure Event for the purposes of these Terms to the extent that the resulting interruption is outside Ilm Centre's reasonable control.
15.5 Extended Force Majeure Events
If a Force Majeure Event continues for a prolonged period and materially affects Ilm Centre's ability to operate the Platform or perform its contractual obligations, Ilm Centre reserves the right to modify, suspend, reduce, or discontinue affected services for so long as reasonably necessary. Any such decision shall be made in good faith, taking into account the interests of users, the operational realities faced by Ilm Centre, and any applicable legal obligations.
15.6 No Waiver of Rights
A delay or failure by Ilm Centre to perform an obligation as a consequence of a Force Majeure Event shall not constitute a waiver of any other rights or remedies available under these Terms or applicable law. Once the Force Majeure Event has ceased, Ilm Centre shall be entitled to resume performance of its obligations without prejudice to any rights that accrued before, during, or after the relevant event.
Section 16
Changes to the Platform and Amendments to these Terms
Ilm Centre is committed to continually developing, improving, and maintaining the Platform. As technology evolves, legal and regulatory requirements change, and user needs develop, it may become necessary for Ilm Centre to modify the Platform, introduce new functionality, discontinue existing features, or amend these Terms and associated policies. By using the Platform, you acknowledge that the Platform is an evolving service and that reasonable changes may be required from time to time.
16.1 Changes to the Platform
Ilm Centre reserves the right, at its sole discretion and without incurring liability to users, to modify, update, enhance, suspend, replace, restrict, or discontinue any aspect of the Platform where we reasonably consider such action to be necessary or appropriate. This includes changes affecting the design, layout, functionality, software, security features, booking systems, payment systems, subscription plans, educational resources, lesson delivery methods, and any other products, services, or features offered through the Platform. We do not guarantee that any particular feature, function, or service will remain available indefinitely.
16.2 Reasons for Changes
Changes to the Platform or these Terms may be made for a variety of reasons, including to comply with changes in applicable law or regulation, to improve the safety, security, or stability of the Platform, to introduce new products or features, to remove obsolete functionality, to respond to technological developments or cybersecurity risks, to improve user experience or operational efficiency, to address errors or technical issues, or to reflect changes in our business operations or service model.
16.3 Amendments to these Terms
Ilm Centre reserves the right to amend, revise, supplement, replace, or otherwise modify these Terms at any time where we reasonably consider it necessary to do so. Where changes are made, the revised Terms will ordinarily be published on the Platform together with the date on which they take effect. Where required by applicable law or where changes are considered to be material, Ilm Centre will use reasonable efforts to notify users in advance through appropriate communication channels.
16.4 Your Responsibility to Review these Terms
It is your responsibility to review these Terms periodically to ensure that you remain familiar with the current version. The most recent version of these Terms will be made available through the Platform, and the date of the latest revision will be displayed at the beginning of the document. Continued access to or use of the Platform after revised Terms have taken effect constitutes your acceptance of those revised Terms. If you do not agree with any amendment, you must discontinue your use of the Platform and close your account in accordance with these Terms.
16.5 Changes to Policies
From time to time, Ilm Centre may also amend or replace policies that form part of these Terms, including our Privacy Policy, Refund and Cancellation Policy, Safeguarding Policy, Cookie Policy, Acceptable Use Policy, and Community Guidelines. Unless otherwise stated, references in these Terms to any policy shall be deemed to refer to the most recent version of that policy as published on the Platform.
16.6 Changes Required by Law
Nothing in this section prevents Ilm Centre from making immediate changes to the Platform, these Terms, or any associated policy where such changes are necessary to comply with applicable law, a court order, regulatory requirement, governmental direction, or to address an immediate security, safeguarding, or operational risk. In such circumstances, changes may take effect immediately, and continued use of the Platform after those changes take effect shall constitute acceptance of the revised Terms.
16.7 No Obligation to Maintain Legacy Services
Unless expressly agreed in writing, Ilm Centre shall have no obligation to maintain, support, or continue providing any previous version of the Platform, any discontinued feature, or any legacy service once it has been replaced, withdrawn, or retired. Ilm Centre will use reasonable endeavours to minimise disruption where changes materially affect existing users, but cannot guarantee ongoing compatibility with discontinued services or outdated technologies.
Section 17
General Legal Provisions
This section sets out the general legal provisions governing these Terms and the contractual relationship between you and Ilm Centre. These provisions are intended to ensure that these Terms continue to operate effectively, fairly, and in accordance with applicable law, even where unforeseen circumstances arise or individual provisions become unenforceable.
17.1 Entire Agreement
These Terms, together with any policies, notices, guidelines, or other documents expressly incorporated by reference, constitute the entire agreement between you and Ilm Centre in relation to your access to and use of the Platform. They supersede and replace all previous discussions, negotiations, representations, understandings, or agreements relating to the subject matter of these Terms, whether made orally or in writing.
17.2 Severability
If any provision, part of a provision, or application of these Terms is determined by a court or other competent authority to be invalid, unlawful, void, or unenforceable, that provision shall, to the extent necessary, be deemed modified or severed so as to achieve, as nearly as possible, the original commercial intention of the parties while remaining lawful and enforceable. The validity and enforceability of the remaining provisions shall not be affected and shall continue in full force and effect.
17.3 No Waiver
Any failure, delay, or omission by Ilm Centre in exercising any right, power, or remedy available under these Terms or applicable law shall not constitute a waiver of that right, nor shall it prevent Ilm Centre from exercising that right at a later date. Any waiver of a contractual right shall only be effective if made expressly in writing by an authorised representative of Ilm Centre.
17.4 Assignment and Transfer
You may not assign, transfer, novate, subcontract, delegate, charge, or otherwise dispose of any of your rights or obligations arising under these Terms without the prior written consent of Ilm Centre. Ilm Centre may assign, transfer, or otherwise deal with any of its rights or obligations under these Terms where such transfer forms part of a legitimate business reorganisation, merger, acquisition, sale of assets, or other lawful business activity.
17.5 Third Party Rights
Except as expressly stated within these Terms, no person who is not a party to these Terms shall have any right to enforce any provision of these Terms. Nothing in this section affects any rights or remedies available under applicable law to a person who is not a party to these Terms where such rights cannot lawfully be excluded.
17.6 Survival
Any provision of these Terms which, by its nature or intended purpose, is expressly or impliedly intended to survive the suspension, termination, expiry, or closure of your account shall continue in force notwithstanding such suspension or termination. Without limitation, provisions relating to intellectual property, privacy, safeguarding, payment obligations, indemnity, limitation of liability, dispute resolution, governing law, and any accrued rights or liabilities shall continue to have effect for so long as reasonably necessary.
17.7 Governing Law
These Terms, together with any dispute, claim, or non-contractual obligation arising out of or in connection with them or your use of the Platform, shall be governed by and construed in accordance with the laws of England and Wales. The choice of governing law shall apply to the fullest extent permitted by applicable private international law, without prejudice to any mandatory consumer protection rights that may apply under the laws of your country of habitual residence where such rights cannot lawfully be excluded.
17.8 Jurisdiction
Subject to any mandatory rights available under applicable consumer protection legislation, the courts of England and Wales shall have exclusive jurisdiction to hear and determine any dispute, claim, or legal proceedings arising out of or in connection with these Terms or your use of the Platform. Nothing in this section prevents Ilm Centre from seeking interim, injunctive, protective, or enforcement relief before any court or tribunal of competent jurisdiction where such action is reasonably necessary to protect its rights, intellectual property, users, or legitimate business interests.
17.9 Relationship of the Parties
Nothing contained within these Terms shall be construed as creating any partnership, joint venture, agency relationship, employment relationship, fiduciary relationship, or other legal relationship between you and Ilm Centre beyond the contractual relationship expressly established by these Terms. Your use of the Platform does not confer upon you any authority to bind Ilm Centre, enter into contracts on its behalf, or act as its agent or representative.
17.10 Interpretation
In these Terms, unless the context otherwise requires, words importing the singular include the plural and vice versa, references to one gender include every gender, and references to a person include natural persons, companies, partnerships, trusts, governmental authorities, and other legal entities. Words such as "including", "includes", and "in particular" are to be interpreted as illustrative and shall not be construed as limiting the generality of the words preceding them. Headings are included solely for convenience and shall not affect the interpretation of these Terms.

Ilm Centre will use reasonable endeavours to respond to legitimate enquiries within an appropriate timeframe.

Dispute Resolution and Complaints
Ilm Centre is committed to providing a professional, fair, and transparent service to all users. We recognise that, despite our best efforts, concerns, misunderstandings, or disputes may occasionally arise in connection with the use of the Platform, lesson bookings, payments, account administration, safeguarding matters, or the interpretation of these Terms. Our objective is to resolve concerns promptly, fairly, and proportionately wherever reasonably possible without the need for formal legal proceedings.
18.1 Raising a Complaint
If you are dissatisfied with any aspect of the Platform or the services provided by Ilm Centre, you should first contact our Customer Support Team using the contact details published on the Platform. When submitting a complaint, you should provide sufficient information to enable us to investigate the matter effectively, including your account details, the date and time of the relevant events, the names of any individuals involved, copies of relevant communications or supporting documentation, and a clear explanation of the issue together with the outcome you are seeking.
18.2 Investigation of Complaints
Upon receiving a complaint, Ilm Centre will acknowledge receipt where appropriate and will investigate the matter using procedures that we reasonably consider suitable having regard to the nature and complexity of the complaint. During an investigation, Ilm Centre may review account records, booking information, payment records, communications conducted through the Platform, lesson records, safeguarding information where appropriate, and any other information reasonably relevant to the issues raised. Users agree to cooperate reasonably with any investigation conducted by Ilm Centre.
18.3 Resolution of Disputes
Where possible, Ilm Centre will seek to resolve disputes through discussion, clarification, negotiation, or other informal means before legal proceedings are commenced. Depending upon the circumstances, an appropriate resolution may include clarification of our policies, correction of administrative errors, replacement lessons, lesson credits, refunds where appropriate, restoration of Platform access, account adjustments, or any other remedy that Ilm Centre reasonably considers fair and proportionate in the circumstances.
18.4 Good Faith
Both Ilm Centre and its users agree to act in good faith when seeking to resolve any dispute arising under these Terms. Users should ensure that complaints are genuine, supported by accurate information, and submitted honestly. Knowingly submitting false, misleading, malicious, or vexatious complaints may itself constitute a breach of these Terms and may result in appropriate action being taken under the relevant provisions of this agreement.
18.5 Court Proceedings
Before commencing legal proceedings, users are encouraged to allow Ilm Centre a reasonable opportunity to investigate and respond to the issues raised. Nothing contained within this section prevents either party from seeking urgent interim relief, protective orders, injunctions, or other remedies from a court of competent jurisdiction where such action is reasonably necessary to protect legal rights, safeguard individuals, preserve evidence, or prevent immediate harm. Except where mandatory law provides otherwise, the parties agree that this dispute resolution procedure should ordinarily be followed before commencing litigation.
18.6 Continuing Obligations
The existence of a complaint or dispute does not automatically suspend the obligations of either party under these Terms. Unless otherwise agreed or required by law, users remain responsible for complying with these Terms, meeting payment obligations, and conducting themselves appropriately while a complaint or dispute is being investigated. Likewise, Ilm Centre reserves the right to continue operating the Platform, enforce these Terms, take safeguarding action where necessary, and exercise any contractual or legal rights available to it while a dispute remains unresolved.
